This DOCUMENT serves as a formal and public declaration issued in the context of the project Universal Aura
situated at Sector 82, Gurugram, a residential project [“AURA”] which was formerly being developed by Universal
Buildwell Pvt. Ltd having registered office at 102, Antriksh Bhawan, 22 K.G. Marg, Connaught Place, New Delhi –
110001 (“Corporate Debtor”] that underwent Corporate Insolvency Resolution Process in the matter CP(|B)
456/ND/2018 titled “Ms. Pallavi Joshi Bakhru v Universal Buildwell Pvt. Ltd” before the Hon’ble National Company
Law Tribunal [“NCLT”), Bench-ll, New Delhi.


In terms of Final Order dated 07.03.2025, Resolution Plan submitted by consortium of Homebuyer Associations
namely Unlversal Greens Buyers Association (UGBA), Universal Aura Welfare Association (UAWA), and
Universal Business Park Owners Association (BPOA) – representing three projects, i.e., Universal Greens,
Farldabad; Universal AURA, Sector-82, Gurugram; and Unlversal Business Park, Gurugram, respectively, was
approved by Hon’ble National Company Law Tribunal [“NCLT”], Bench-l, New Delhi and three associations were
declared successful resolution applicant (SRA).


Pursuant to the terms of the Resolution Plan approved by the Hon’ble NCLT, a new demerged company has been
incorporated by each SRA member, accordingly Universal Aura Welfare Association (UAWA) has formed
company under the name M/s SOGNO HOMES LIMITED [“SOGNO”], bearing CIN: U43900HR2025PLC131316, for
execution and completion of the Universal AURA Project [AURAJ. This company has been formed for sole purpose
to develop and conclude AURA in favour of homebuyers. Details of sOGNO are accessible at

This DOCUMENT is being issued as a declaration in rem by SOGNO with the authority of the UAWA(SRA) to put to
the notice of allottees; that the Corporate Debtor has ceased to exist and the (UAWA)SRA has authorized SOGNO
to deal with all matters relating to delivery of AURA.

It is clarified that all allottees of the project are be deemed to be members of the SRA and are therefore liable to
comply with the Resolution Plan as approved by the Hon’ble National Company Law Tribunal (“NCLT”).

DECLARATION:
Notwithstanding anything contained herein or in any prior communication, it is hereby expressly clarified that
SOGNO, has not assumed and shall not be deemed to have assumed any past rights, liabilities, obligations,
responsibilities, or commitments of any nature whatsoever of the Corporate Debtor, Universal Buildwell Pt. Ltd.,
whether arising out of or in relation to any agreements, underta kings, records, deeds, contracts, licenses,
approvals, permissions, plans, maps, construction activities (completed or ongoing), legal proceedings,
correspondences, financial liabilities, dues, claims, payments, receivables, warranties, representations, or any
other operational or statutory matters with any stakeholders.

It is further clarified that all acts, deeds, transactions, arrangerments, and obligations undertaken, initiated, or
executed by the Corporate Debtor prior to the approval and implementation of the Resolution Plan shall continue
to remain the sole responsibility and liability of the Corporate Debtor, and SOGNO shall bear no liability or
obligation whatsoever, whether direct or indirect, in respect thereof.

This document and any reference to SOGNO in connection with the Corporate Debtor are made solely for limited
administrative and facilitative purposes, including but not limited to enabling future transactions, completing
construction and delivery of project and financial arrangements (such as availing loans or financial assistance in
respect of the concerned unit/project), and shall not be construed as a novation, assignment, transfer, orassumption of any past liabilities or obligations of the Corporate Debtor.

Accordingly, all stakeholders are put to notice that any past claims, liabilities, or disputes shall not be enforceable
against SOGNO, and SOGNO shal only be responsible for such obligations, if any, as arise strictly subsequent to
and in accordance with the approved Resolution Plan.
